The rules, responsibilities, and limitations that govern use of the service.

These Terms of Service ("Terms") govern your access to and use of Talifend and all related websites, applications, and services. Please read them carefully.

1. Introduction and Parties

These Terms are an agreement between Talifend Systems LLC, a California limited liability company ("Provider," "we," "us," or "our") and you ("User"). If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

2. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy, Cookie Policy, and End User License Agreement.

3. Eligibility

  • You must be at least 18 years old.
  • You must have legal capacity to enter into a binding contract.
  • You must provide accurate, current, and complete account information.

4. Account Responsibilities

  • You are responsible for safeguarding your credentials.
  • You are responsible for all activity under your account.
  • You may not share accounts or exceed licensed user limits.

5. Description of Service

Talifend is a cloud-based accounting and business management SaaS platform. It includes transactions, service requests, reporting, document storage, and AI features.

6. No Professional Advice

The Service is not legal, tax, accounting, or financial advice. Outputs may be inaccurate or incomplete. You are responsible for verifying all outputs, calculations, and decisions.

7. Acceptable Use

  • Do not scrape, reverse engineer, or attempt to access source code.
  • Do not bypass authentication, rate limits, licensing, or storage limits.
  • Do not upload malware, harmful code, or unlawful content.
  • Do not interfere with or disrupt the Service.

8. Prohibited and Regulated Data

You may not store or transmit HIPAA/PHI, PCI cardholder data, bank login credentials, or government-issued identification numbers unless expressly agreed in writing by us.

9. Subscriptions and Billing

  • Fees are billed in advance. Paid plans do not auto-renew unless we expressly state otherwise in writing or at checkout.
  • If a plan or offer includes an automatic renewal feature, the renewal terms will be shown before checkout.
  • Cancellation takes effect at the end of the current billing period only when an automatic renewal applies.
  • PayPal processes payments; we do not store card details.
  • Failed payments or chargebacks may result in suspension or termination.
  • If an invitation code or promotional discount is applied, it applies only to the billing period stated at checkout, typically the first month, unless we expressly state otherwise in writing.
  • After any promotional period ends, continued service is charged at the standard plan rate then in effect.

10. Refund Policy

All fees are non-refundable except where required by law.

11. Customer Content

You retain all right, title, and interest in and to content, files, records, data, and other materials you submit to or store in the Service ("Customer Content"). We do not claim ownership of Customer Content.

You grant us a limited, non-exclusive, worldwide license to host, process, store, transmit, reproduce, display, back up, and otherwise use Customer Content solely as necessary to provide, secure, maintain, and support the Service, to comply with law, and to perform functions reasonably expected in the ordinary operation of the Service.

Subject to your account permissions, system limitations, and applicable law, you may export or access your Customer Content while your account is active. After termination or deletion requests, we may retain limited copies only as required for backups, legal compliance, dispute resolution, or legitimate business records, and in each case only for as long as reasonably necessary.

12. Data Retention and Deletion

Upon cancellation, content may be retained for up to 30 days for export. After that, it may be deleted.

13. AI Features and Limitations

AI outputs may be inaccurate or incomplete and are informational only. You must independently review and verify them.

14. Third-Party Services

The Service may integrate with third-party services including AWS, PayPal, email providers, and analytics tools. We are not responsible for third-party outages or failures.

15. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind.

16. Intellectual Property

Talifend Systems LLC owns all rights, title, and interest in the Service and related intellectual property.

17. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for indirect, consequential, special, or lost profit damages.
